VCA-VIC is no longer responsible for VMA Ltd. in all matters

PUBLIC ANNOUNCEMENT

RE: The VCA-VIC is no longer responsible for the VMA Ltd. in all matters

The Vietnamese Museum Australia Ltd (VMA Ltd) was established by the Executive Committee of the term 2016-19 for management of the Vietnam Australia Cultural Centre and Museum Construction Project. The company is legally independent from the Vietnamese Community in Australia – Victoria Chapter (VCA-VIC).

According to the legal advice provided by the law firm, the Executive Committee for the term 2022-25 remains jointly accountable to its former Executive Committees in a number of aspects. The law firm has advised us to appoint a VCA-VIC member to the Board of Directors of the VMA Ltd to ensure that the VMA Ltd will be managed in accordance with the purposes and objectives of the VCA-VIC including negotiation with the VMA Ltd for the repossession of this project.

The Executive Committee organized an internal meeting on May 13, 2023 and another meeting with the Advisory and Prudential Council on May 27, 2023 on the appointment of lawyer Nguyen Tan Hai to the Board of Directors of the VMA Ltd. On May 29, 2023 we officially informed Mr. Bruce Mildenhall, chairman of the Board of Directors of the above appointment.

For over 3 months, we have not received any reply from Mr. Bruce Mildenhall. On August 31, 2023, the Executive Committee decided that from the day of this Public Announcement, VCA-VIC is no longer responsible for the VMA Ltd. in all matters. Concurrently, we hereby revoke the decision to appoint lawyer Nguyen Tan Hai to the Board of Directors of the VMA Ltd.

We will seek the opinions and views of VCA-VIC’s members on Chapter 6 of the 2019 Constitution at the incoming Annual General Meeting.

Best regards,

For the Executive Committees,

Duy Quang Nguyen

President
