Special General Meeting for Voting on the Amendments to the Constitution 2024 on Sun 23/11/25


PUBLIC ANNOUNCEMENT

RE: To attend the Special General Meeting for Voting on the Amendments to the Constitution 2024 on Sunday, November 23, 2025

Dear Vietnamese Community Leaders and Members,

The VCA-VIC Executive Committee has the pleasure to inform you that after eight months working tirelessly, at the end, the Consumer Affairs Victoria has invited the VCA-VIC to meet them to discuss on the resolution of Constitution 2024 matters.

On September 17, 2025, a meeting was held between the Head of the VCA-VIC Legal Committee, Legal Advisor Nguyen Tan Hai, and the head of the Constitution Amendments Committee, Mr. Nguyen Duy Nhac, with officers from the Consumer Affairs Victoria, which included a senior legal advisor and two senior members of the CAV. The meeting of both parties have reached the following decisions:

  1. The Consumer Affairs Victoria agreed that the 2024 Constitution would be fully respected because it was approved by over 75% of the members at the Amendment General Meeting on November 24, 2024.
  2. The Constitution 2024 legally binds VCA-Vic and its members. As such the Constitution 2024 has operated since it was adopted by VCA-Vic members on 24/11/2024.
  3. However, the Consumer Affairs Victoria suggested that the Executive Committee organize a Special General Meeting for VCA-Vic members to decide on amendments or additions rules to help the Constitution 2024 closely align with the Model Rules under the Associations Incorporation Reform Act 2012. (Please see Attachment 3.)

The Executive Committee agrees to convene the Special General Meeting with the following details:

  • Date and time: Sunday 23 November 2025, from 1pm to 5pm.
  • Venue: Vietnamse Community Centre, 90, Knight Ave, Sunshine North.
  • Only Vietnamese – Australian having Australian citizenship who are residents in Victoria will be permitted to vote at the meeting.

If the quorum of the members attending the Special General Meeting exceeds 50 and an absolute majority of 3/4 of the votes agree with the added or amended provisions, the Constitution 2025 will come into effect from November 23, 2025.

According to the requirements of the Consumer Affairs Victoria, if the Special General Meeting does not reach more than 50 participants or does not achieve an absolute majority of 3/4 of the votes in favor, the Constitution 2024 will continue to be in effect. However, our VCA-Vic will have to comply with the corresponding provisions of the Model Rules under the Associations Incorporation Reform Act 2012 (please see Appendix 3 attached).

Once again, the Executive Committee and the Constitution Amendments Committee would like to thank everyone for your contributions in the development of the Constitution 2024 and cordially invite you to participate in the Special General Meeting to vote on the Constitution 2025.

After 50 years of settlement, a new Constitution allows us to look toward the future, a bright future connecting all members, building, and developing our community.

After the Special General Meeting voting, if time permits, we will present to you future projects and answer any questions you may have.
